This letter confirms our agreement between Kingsoakfilms and yourself______________ (refered to as 'the client')

I am writing to everyone taking part in this production to make clear to everyone, including you, the basis upon which the Film is being made. If anything is unclear, or if you would like further discussion, please contact me.

Once you have read the entire letter, and agree to it, please print and sign both copies, retain a copy for your records and return a copy to the Kingsoakfilms address above the address .

1. I, ­­­­­­­­­­­______________(the client) am authorised  to sign this document on behalf of the author, creator actors or anyperson related to the project and accept responmibility for this. I hold Kingsoakfilms free from all liability resulting from any claim whatsoever resulting in dispute of this work and agree this as a legal and lasting agreement to assign kingsoakfilms all rights to show the filmed work with on kingsoakfilms website, youtube and vimeo for the purposes of displaying the work of kingsoakfilms and promoting the company.

2. I, ­­­­­­­­­­­­­­­­­­­­­­_____________ (the client) give over any rights I may have in the shot footage to Kingsoakfilms who retains all rights to the work until an contribution toward costs is paid on receipt of which kingosoakfilms will forward the relevant footage.

The client will supply the harddisk to the addressabove at the clients cost each time the client requires separate footage.the transfer fee of footage is £175 per hour and will be required paid by bacs. This is an unreturnable payment and the client accepts this and to hold kingsoakfilms free from any liability.

4. I, _____________(the client) agree to credit all footage purchased from kingsoak films with a clear credit at the end of the film displayed for no less than three seconds and no less than 1/15 height of the screen in clear upper and lower case 'filmed by kingsoakfilms.co.uk copyright 2010' if the credit is not included or edited out , the client agrees the work remains the copyright of kingsoakfilms and will withdrawl it from display. Kingsoakfilms  with full title guarantee by way of assignment of present and future copyright hereby retains the entire worldwide copyright and all other right, title and interest of whatsoever nature whether vested or contingent including but not limited to the right to exploit the Film and the products of the Services (including the Performer's performance) understanding if a fee is paid of £180 per 30 minutes of footage supplied and the copyright will be retained by kingsoakfilms any part of the same (including without limitation remake, publishing and merchandising rights and all subsidiary and ancillary rights) under this Agreement by any and all means and in all media throughout the world and free of all the Kingsoakfilms moral rights or 'droit moral' or any similar law in any country in the world and all liens and encumbrances to hold the same untio Kingsoakfilms absolutely throughout the world for the full period of copyright and all renewals and extensions thereof and thereafter in perpetuity (the 'Rights').

Kingsoakfilms hereby retains all and any rental and lending rights that the Performer may have in relation to the Film and the Performer confirms that the remuneration set out in this Agreement includes full and proper equitable remuneration in respect of any rights (including without limitation any rental and lending rights) that the Performer may have in relation to the Film.

The client(______________ consents to the filming and recording of the Performer as an individual and the Performer's voice in the his [her] performance and grants to the Company the right but not the obligation to use and to authorise others to use the Performer's name, reproductions of the Performer's physical likeness, recordings of the Performer's voice and the Performer's biography in connection with the advertisement, publicity, exhibition and exploitation of the Film and all subsidiary and ancillary rights.

Credit

Subject to the Performer rendering the Services under the terms of this Agreement and to the Performer appearing readily recognisable in the Film, the Company shall accord the Performer credit on the Film and in all major paid advertising and publicity issued by or under the Company's direct control (excluding the customary industry exceptions), the manner and mode of presentation of such credit to be determined by the Company in its sole discretion.

5. Warranties

The Performer hereby warrants, undertakes and agrees that he [she]:

is free to enter into this Agreement and has not entered and will not enter into any arrangement which may conflict with it;

shall not without the Company's consent in writing issue any publicity relating to or otherwise reveal or make public any financial, creative or other confidential information in connection with the Film or the terms of this Agreement or the Company's business and will not knowingly commit any act which might prejudice or damage the Company's reputation or inhibit the successful exploitation of the Film;

No waiver

No waiver by either the Company or the Performer to any breach of the terms and conditions of this Agreement shall be deemed or construed to be a waiver of any preceding or succeeding breach or any other terms and conditions.

No partnership

Nothing in this Agreement shall be construed or deemed to constitute a partnership or joint venture between the Company and the Performer and save as expressly provided in this Agreement neither the Company nor the Performer shall hold itself out as the agent of the other.

Assignment

The Company shall be entitled to assign and charge the benefit of this Agreement either in whole or in part to any third party but no such assignment shall relieve the Company of any of its obligations to the Performer under this Agreement.

Entire agreement

This Agreement contains the entire agreement of the Company and the Performer and may only be varied by written instrument signed by the Company and the Performer.

Governing Law and jurisdiction

This Agreement shall be construed under and performed in all respects in accordance with and governed by the laws of England and Wales and the Company and the Performer shall submit to the exclusive jurisdiction of the English courts.

is in a good state of health and shall use his [her] best endeavours to remain so during the term of this Agreement and shall not take part in any activity which may interfere with his [her] rendering the Services under this Agreement or which may invalidate any insurance as set out under paragraph 13 of this Agreement;

shall attend for tests, conferences, fittings, rehearsals and the taking of still photographs and other arrangements, dress, be made up and wear his [her] hair as directed by the director of the Film, comply with all the Company's decisions concerning the manner in which the Performer shall be portrayed and presented and perform and record his [her] part;

shall not without the Company's consent in writing issue any publicity relating to or otherwise reveal or make public any financial, creative or other confidential information in connection with the Film or the terms of this Agreement or the Company's business and will not knowingly commit any act which might prejudice or damage the Company's reputation or inhibit the successful exploitation of the Film;

is self employed and is not considered to be the Company's employee and shall be personally responsible for all tax, national insurance and/or other taxes levied by the United Kingdom Inland Revenue or relevant overseas tax authority

shall comply with and observe all union rules and regulations and all formal agreements, rules and regulations relating to safety, fire, prevention or general administration in force at any place in which the Performer shall be required by the Company to render the Services; and

shall upon the expiry or termination of his [her] engagement deliver up to the Company all scripts, photographs and other literary or dramatic properties all film materials and all other properties, documents and things whatsoever which the Performer may have in his [her] possession or under his [her] control relating to the Film.

Indemnity

The Performer hereby indemnifies and agrees to keep kingsoakfilms fully and effectually indemnified from and against any and all losses, costs, actions, proceedings, claims, damages, expenses (including reasonable legal costs and expenses) or liabilities suffered or incurred directly or indirectly by kingsoakfilms in consequence of any breach, non-performance or non-observance by the client of any of the agreements, conditions, obligations, representations, warranties and undertakings on the client's part contained in this Agreement.  The cleint hereby expressly acknowledges that this indemnity shall survive the completion of the Services under this Agreement.

Injunctive Relief

The Performer acknowledges that in the event of a breach by the Company of any of the terms of this Agreement any application to enjoin or restrain the production, distribution, exhibition, advertising or exploitation of the Film or any rights therein or derived therefrom would be excessively disruptive and unreasonably damaging to the Film and to the Company's interests in the Film and consequently the Performer agrees not to apply for any such relief and accepts that the recovery of damages, if any, in an action at law will provide a full and appropriate remedy for any loss or damage incurred by the Performer as a result of any such breach.

Suspension And Termination

The Company shall be entitled upon written notice to suspend and if appropriate to terminate the Performer's engagement under this Agreement in the event of the performer's incapacity or default or if the production of the Film is disrupted by any event beyond the Company's reasonable control.  Upon suspension or termination of the Performer's Services the following provisions shall also apply:

(a)                  all Rights granted to the Company in respect of the Services under this Agreement and the products thereof prior to suspension or termination howsoever arising shall not be affected or prejudiced;

(b)                 the Performer shall not render his [her] services to any third party during the continuance of suspension; and

(c)                  the Company shall cease to be liable to make any payment of remuneration or expenses to the Performer during the period of suspension or after the date of termination save for those which have already become due and payable and the Performer shall not be paid for days taken for sickness unless the Performer makes up such days on days approved by the Company.

Notices

Any notices required to be given under this Agreement shall be in writing and shall be sent to the Company and to the Performer at the addresses set forth above.

Further Assurance

The Performer agrees to execute and deliver all such further documents as the Company may require in relation to this Agreement and if the Performer shall fail to do so the Company is hereby irrevocably appointed the Performer's attorney-in-fact with full right, power and authority to do so in the Performer's name and on his [her] behalf.

No waiver

No waiver by either the Company or the Performer to any breach of the terms and conditions of this Agreement shall be deemed or construed to be a waiver of any preceding or succeeding breach or any other terms and conditions.

No partnership

Nothing in this Agreement shall be construed or deemed to constitute a partnership or joint venture between the Company and the Performer and save as expressly provided in this Agreement neither the Company nor the Performer shall hold itself out as the agent of the other.

Assignment

The Company shall be entitled to assign and charge the benefit of this Agreement either in whole or in part to any third party but no such assignment shall relieve the Company of any of its obligations to the Performer under this Agreement.

I, _________, hereby grant kingsoakfilms and its agents the right to video/audio tape my likeness/voice/performance and/or the likeness/voice/performance of ________________ (name of group), in connection with the production and distribution of the video/audio tape presentation named below, and that said video/audio tape may be cablecast, broadcast or otherwise transmitted by kingsoakfilms its successors or assigns. I agree that you may copyright said video/audio tape.

I further agree that my name(s) likeness/voice(s) and biographical material may be used in connection with publicity about the production named below.

I understand that the recorded material is not intended for commercial gain, but may be used by kingsoakfilms promotional activities if required for this, and I release kingsoakfilms and their agents, successors and assigns from further claims or demands arising from the uses of materials you may record in which I/we appear or can be heard. The undersigned parties hereby agree that all rights, copyrights, titles and interest in any videos filmed by kingosakfilms equipment, on behalf of Client belong solely and exclusively to the kingsoakfilms free from any claims whatsoever.

The enticement and consideration for this Agreement is the promise by the Client to pay the Kingoakfilms the amount of £ _________ (price paid will determine length of footage sent based on £260 per hour of HD footage 64 GB and is non returnable) This is a one-time contribution to kingsoakfilms for the transfer services (not work-for-hire) and is non exclusive right to show the footage the client agrees to send a PC based external hardrive at their cost to kingsoakfilms with SAE with correct postage for the footage to be returned.
